PlatoForms Affiliate Program Terms and Conditions
By enrolling in the PlatoForms Affiliate Program (“Program”), you (“Affiliate”) agree to the following terms and conditions (“Terms”):
1. Enrolment
To enrol in the Program, the Affiliate must complete the online registration form and agree to these Terms and any other policies or guidelines provided by PlatoForms. PlatoForms may reject the Affiliate’s application for any reason in its sole discretion.
2. Eligibility
To be eligible for the Program, the Affiliate must have a website or other platform that is relevant to the Platform and complies with PlatoForms’ acceptable use policy. PlatoForms reserves the right to determine, in its sole discretion, whether the Affiliate’s website or platform is eligible for the Program.
3. Commission
The Affiliate will earn a commission equal to 30% of the first-year subscription fee for each new customer who signs up for the Platform through the Affiliate’s unique referral link. Commissions are paid on a monthly basis, provided that the Affiliate’s commission balance exceeds the minimum payout threshold of $30 specified in the Program agreement.
4. Promotion
The Affiliate may promote the Platform through its website, social media, email marketing, and other channels, provided that it complies with PlatoForms’ acceptable use policy and these Terms.
5. Prohibited Activities
The Affiliate may not engage in any of the following activities:
- Using spam or unsolicited email to promote the Platform
- Making false or misleading claims about the Platform
- Engaging in any activity that could damage PlatoForms’ reputation or the reputation of the Platform
- PlatoForms reserves the right to terminate the Affiliate’s participation in the Program if it engages in any prohibited activity.
6. Intellectual Property
PlatoForms grants the Affiliate a non-exclusive, non-transferable, revocable license to use its trademarks and other intellectual property solely for the purpose of promoting the Platform in accordance with these Terms.
7. Confidentiality
The Affiliate agrees to keep all confidential information it learns through the Program, including commission rates and customer data, confidential and not to disclose it to any third party.
8. Termination
Either party may terminate the Affiliate’s participation in the Program at any time, for any reason, by giving the other party written notice. Upon termination, the Affiliate will immediately cease all use of PlatoForms’ trademarks and other intellectual property.
9. Payouts
The Affiliate’s first payout will be processed 45 days after PlatoForms receives the initial subscription fee from the referred customer. Subsequent payouts will be made on a monthly basis, provided that the Affiliate’s commission balance exceeds the minimum payout threshold of $10 specified in the Program agreement.
10. Referral Recognition
If a user clicks on the Affiliate’s referral link and signs up for the Platform within 30 days using the same browser, PlatoForms’ system will recognise this as a valid referral and the Affiliate will be eligible for a commission. However, if the user clears their cookies or uses a different browser, the referral may not be recognised.
11. Fraudulent Activity
PlatoForms reserves the right to withhold or reverse commissions earned through fraudulent or deceptive activity, including but not limited to fake signups or referrals, use of false or misleading advertising, or any other activity that we deem harmful to our business or reputation.
12. Governing Law and Jurisdiction
This Agreement will be governed by and construed in accordance with the laws of New South Wales, Australia, without giving effect to any principles of conflicts of law. Any lawsuit arising from or relating to this Agreement must be filed in the courts located in Sydney, New South Wales, and the Parties submit to the exclusive jurisdiction of those courts.
13. Modifications
We reserve the right to modify these Terms at any time, in our sole discretion, by posting revised terms on our website or by providing notice to you by email or through the Program dashboard. Your continued participation in the Program after any such modification will constitute your acceptance of the modified Terms.
14. Termination for Breach
We reserve the right to terminate your participation in the Program immediately if you breach any of these Terms or engage in any prohibited activity under section 5.
15. Duration
The agreement between the Affiliate and PlatoForms will remain in effect until either party terminates it in accordance with these Terms.
16. Consequences of Breach
Any breach of these Terms may result in termination of the Affiliate’s participation in the Program and/or legal action.
17. Dispute Resolution
Any disputes arising from or relating to these Terms or the Program will be resolved through mediation or arbitration, as determined by PlatoForms in its sole discretion.
18. Independent Contractors and Assignment
The Affiliate and PlatoForms are independent contractors, and nothing in these Terms will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the Parties. The Affiliate may not assign or transfer its rights or obligations under these Terms without the prior written consent of PlatoForms. Any attempted assignment or transfer in violation of this provision will be null and void.
19. No Guarantee of Income
We make no guarantees or representations regarding the potential income that you may earn through the Program. Your earnings are dependent on various factors, including the number and quality of referrals you make.
20. Taxes
You are solely responsible for reporting and paying any taxes on your earnings from the Program in accordance with applicable laws and regulations.
21. Limitation of Liability
We will not be liable to you for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with these Terms or the Program, even if we have been advised of the possibility of such damages. Our total liability to you under these Terms and the Program will be limited to the total commissions paid to you under the Program.
If the Affiliate is agreeing to these Terms on behalf of a company or other legal entity, it represents and warrants that it has the authority to bind that entity to these Terms.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
These Terms do not create any agency, partnership, or joint venture relationship between the Parties.
The headings used in these Terms are for convenience only and do not affect the interpretation of these Terms.
Any delay or failure by PlatoForms to enforce any provision of these Terms will not constitute a waiver of its rights to subsequently enforce that provision or any other provision of these Terms.
